3. LICENSE GRANT

Subject to these Terms and successful payment, we grant you a limited, non-exclusive, non-transferable license to use the Software on a single device for personal or internal business purposes. You may not redistribute, sublicense, rent, lease, or lend the Software to any third party.

4. FREE VERSION

ProGrade Finance offers a free version with limited functionality. The free version:

  • May have restricted features compared to the full version
  • Requires you to create an account to use
  • Is provided “as is” without warranty
  • May be discontinued or modified at any time without notice
  • Requires acceptance of these Terms to use

The license restrictions in Section 3 apply to the free version as well.

5. ACTIVATION KEYS

  • One Activation Key is provided per purchase
  • Each Activation Key is tied to your account and cannot be transferred
  • You are responsible for safeguarding your Activation Key
  • Lost Activation Keys will not be reissued except at our sole discretion
  • Activation Keys may not be sold, shared, or redistributed

6. PAYMENT

  • All prices are listed in USD unless otherwise stated
  • We accept payments via PayPal
  • Prices are subject to change without notice
  • You are responsible for any taxes associated with your purchase

7. REFUND POLICY

We offer a 7-day money-back guarantee on all purchases.

To request a refund:

  • Contact us within 7 days of your purchase date
  • Provide your order number and reason for refund

Refund conditions:

  • Refunds will not be issued after 7 days from purchase date
  • Refunds will not be issued if the Activation Key has been used
  • Refunds will be processed within 5-10 business days
  • Refund requests must be submitted via email to sales@progradefinance.com

8. INTELLECTUAL PROPERTY

  • The Software and all content, design, and code are the exclusive property of ProGrade Finance
  • You may not copy, modify, distribute, or create derivative works based on the Software
  • All trademarks, logos, and brand names are owned by ProGrade Finance
  • You retain ownership of any data you input into the Software

9. USER OBLIGATIONS

By using our Software, you agree NOT to:

  • Reverse engineer, decompile, or disassemble the Software
  • Bypass or circumvent any activation mechanisms
  • Use the Software for any illegal or unauthorized purpose
  • Transfer, assign, or sublicense your license to others
  • Remove or alter any proprietary notices on the Software
  • Use the Software to violate any third-party rights

10. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT:

  • The Software will meet your specific requirements
  • The Software will be uninterrupted, timely, or error-free
  • The results obtained from use of the Software will be accurate or reliable
  • The quality of the Software will meet your expectations

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE PAID BY YOU FOR THE SOFTWARE. WE SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages arising from third-party claims
  • Any loss or damage arising from use or inability to use the Software

12. TERMINATION

We may terminate your license and access to the Software immediately, without notice, if you:

  • Engage in illegal or unauthorized use of the Software
  • Fail to pay any fees when due
  • Threaten the security or integrity of our systems

Upon termination, you must destroy all copies of the Software and Activation Keys in your possession.

13. GOVERNING LAW
